Deze voorwaarden zijn in het Engels opgesteld en alleen de Engelse tekst geldt (zie 11.7). Vragen over de inhoud? Mail hello@maturo.io.

1. Who we are and when these terms apply

1.1 Maturo.io is a trade name, registered with the Netherlands Chamber of Commerce (KvK) under number 42051028, with its address at Coolsingel 104, 3011 AG Rotterdam, the Netherlands, VAT number NL005457863B09 ("Maturo.io", "we", "us"). You can reach us at hello@maturo.io.

1.2 These terms apply to every offer, quote, order and agreement under which Maturo.io gives access to the Maturo.io platform at app.maturo.io, and to the use of that platform.

1.3 Maturo.io is offered to businesses only. By accepting these terms you confirm that you act in the course of a business or profession and that you are authorised to bind the organisation you represent. Consumers cannot enter into an agreement with Maturo.io.

1.4 Your own general terms and conditions do not apply, even if you refer to them in an order or purchase order.

1.5 If a provision of these terms is void or annulled, the rest stays in force. We will replace that provision with one that comes as close as possible to its original purpose.

2. Definitions

Term Meaning
Customer, you The organisation that signs up for or uses Maturo.io, such as an investor, agency or holding company
Platform The Maturo.io software at app.maturo.io, including the demo, exports, emails and any later version
Workspace Your separate environment on the Platform, holding your companies, scores and users
Tracked company A company you add to your Workspace. Fees are charged per tracked company
User A person you invite into your Workspace: an admin, an analyst or a company member
Customer data Everything you or your Users put into the Platform, such as company details, scores, notes and email addresses
Maturo Index The 0 to 100 score the Platform calculates from the twelve dimension scores
Peer benchmark Comparisons with other companies in the same sector, built from consented, anonymised scores
Plan The Annual plan, the Quarterly plan, or another plan we agree with you in writing
Term The period a Plan runs: twelve months for Annual, three months for Quarterly

3. Accounts, users and the trial

3.1 We set up your Workspace after you request access, or automatically when you sign up. Users sign in with a one-time link sent to their email address. There are no passwords.

3.2 You decide who gets access and in which role. You are responsible for everything done in your Workspace by your Users, and for keeping their email accounts secure. Tell us at once if you suspect someone has access who should not.

3.3 Every new Workspace starts with a free trial of 14 days. During the trial you can use the Platform in full. Nothing is charged and nothing renews automatically.

3.4 At the end of the trial your Workspace is paused unless a Plan has been agreed. A paused Workspace keeps your Customer data for 90 days, so you can pick up where you left off. After that we may delete it.

3.5 Company members invited to see one company's own scores need no Plan of their own. They count as part of your Workspace.

4. Plans, fees and invoicing

4.1 Fees are charged per tracked company per Term, as published on maturo.io/#pricing on the day the Plan starts, or as agreed in a written quote. All prices are in euros and exclude VAT.

4.2 The Annual plan has a minimum of 5 tracked companies. The volume rate applies to your whole portfolio and is set by the number of tracked companies at the start of the Term. The Quarterly plan has a minimum of 3 tracked companies at one flat rate.

4.3 If you add tracked companies during a Term, each one is charged at the Quarterly rate per started quarter until the next renewal. At renewal they move to the rate of your Plan.

4.4 We invoice in advance at the start of each Term. Invoices are payable within 14 days of the invoice date. If payment is late, we may charge the statutory commercial interest (wettelijke handelsrente) and reasonable collection costs.

4.5 We may change our prices with effect from your next renewal. We will tell you at least 30 days before that renewal, and you may then cancel at the end of the current Term.

4.6 Fees already paid are not refunded, unless these terms say otherwise or the law requires it.

5. Term, renewal, suspension and termination

5.1 A Plan starts on the date agreed and runs for its Term. The Annual plan renews for another twelve months unless either party cancels in writing at least one month before the end of the Term. The Quarterly plan renews each quarter unless either party cancels in writing before the next quarter starts. An email to hello@maturo.io counts as writing.

5.2 We may pause access to your Workspace if an invoice is more than 14 days overdue after a reminder, or if continued use would break the law or these terms. We restore access once the reason is resolved. A pause does not end the agreement or your duty to pay.

5.3 Either party may end the agreement with immediate effect by written notice if the other party seriously breaches it and does not put that right within 30 days of being asked to, or if the other party is declared bankrupt or granted a suspension of payments.

5.4 When the agreement ends, access ends with it. For 30 days afterwards you can ask us to export your Customer data in a standard format such as a spreadsheet. After that we delete your Workspace and its Customer data, except what we must keep by law, such as invoices.

6. Your data, the peer benchmark and data protection

6.1 Customer data is yours. We use it only to provide, secure and support the Platform for you, and for the peer benchmark as described in 6.3. We do not sell it and do not use it for advertising.

6.2 You are responsible for having the right to put Customer data into the Platform, including the names and email addresses of founders and colleagues you invite.

6.3 Peer benchmark. A score adds to the peer benchmark only if it was given with consent for that use. Peer figures are shown only as anonymous averages and percentiles. They are only shown for a sector once at least eight companies in it have consented. No company or customer is ever named or identifiable in the peer benchmark. Anonymised, aggregated figures that can no longer be traced to you may remain part of the benchmark after the agreement ends.

6.4 Data protection. For personal data in Customer data, you are the controller and Maturo.io is the processor. We process it only on your instructions, under the data processing agreement that forms part of these terms. For personal data we collect ourselves, such as sign-in details and requests on our website, Maturo.io is the controller, as described in the privacy statement at maturo.io/privacy.

6.5 We keep Customer data in the European Union where our providers allow it, and use these sub-processors: Cloudflare (hosting, database, bot protection) and Resend (email delivery). We will tell you before adding or replacing a sub-processor, and you may object on reasonable grounds.

6.6 We take appropriate technical and organisational measures to protect Customer data. These include encrypted connections, sign-in without passwords, strict separation between Workspaces, and encryption of stored connector credentials. We will tell you without undue delay if we become aware of a personal data breach affecting your Customer data.

7. Scores, the free tools and acceptable use

7.1 Scores are an aid to judgement, not advice. Maturo.io scores marketing maturity from the evidence available. Each score is labelled with how it was produced: Audit-verified, Analyst-scored or Self-scanned. A score is only as good as the evidence behind it, and Self-scanned scores rest on the answers given. You remain responsible for investment, operating and other decisions you take using the Platform. We do not give legal, financial or investment advice.

7.2 The free tools on maturo.io (the Self-scan and Signal Check) are offered as they are, without a service level and free of charge. A result is sent by email only if you ask for it. These terms apply to the free tools as far as relevant, except sections 4 and 5.

7.3 You will not, and will not let others:

  • share sign-in links or give access to people who are not Users;
  • try to see data from another Workspace, or test, probe or overload the Platform;
  • copy, scrape or resell the Platform, the scoring model or the peer benchmark, or use them to build a competing product;
  • reverse engineer the Platform, except where the law allows it;
  • upload anything unlawful, malicious, or that you have no right to share.

7.4 If use of the Platform breaks section 7.3 or puts the Platform or other customers at risk, we may suspend the Users or the Workspace involved. We will tell you why and restore access once the issue is resolved.

8. Availability, support and changes to the service

8.1 We aim to keep the Platform available around the clock and to schedule maintenance outside Dutch office hours where we can. We do not guarantee uninterrupted or error-free service, and we give no service level unless agreed in writing.

8.2 Support is by email at hello@maturo.io on Dutch working days. We aim to reply within one working day.

8.3 We improve the Platform continuously and may change, add or remove features. If a change materially reduces what you pay for, we will tell you at least 30 days in advance. You may then end the agreement at the effective date of the change and receive a pro rata refund of fees paid for the period after that date.

8.4 The scoring model and its weights may be refined over time. When a refinement changes how scores are calculated, we will say so in the Platform, and historic scores stay as they were recorded.

9. Intellectual property and confidentiality

9.1 The Platform, the scoring model and its dimensions, the playbook library, the peer benchmark, the Maturo.io name and mark, and everything we create to provide them belong to Maturo.io or its licensors. You receive a non-exclusive, non-transferable right to use the Platform for your own business during the agreement. No other rights pass to you.

9.2 You may share reports and board packs from the Platform within your organisation and with the companies they concern, and with your investors, advisers and auditors.

9.3 If you send us suggestions or feedback, we may use them freely and without obligation to you.

9.4 Each party keeps the other party's confidential information confidential and uses it only for this agreement. This does not apply to information that is public, was already known to the receiving party, is received lawfully from someone else, or must be disclosed by law. This obligation continues for three years after the agreement ends.

9.5 We may name you as a customer only with your prior written consent.

10. Liability and force majeure

10.1 Maturo.io's total liability under or in connection with the agreement is limited to the fees you paid for the Platform in the 12 months before the event that caused the damage. During a free trial, and for the free tools, Maturo.io's liability is limited to EUR 500.

10.2 Maturo.io is not liable for indirect or consequential damage, including lost profit, lost savings, lost revenue, damage to reputation, or losses from investment or business decisions based on scores.

10.3 The limits in 10.1 and 10.2 do not apply to damage caused by Maturo.io's intent or deliberate recklessness (opzet of bewuste roekeloosheid), or where the law does not allow such limits.

10.4 To claim damages you must tell us in writing within 30 days after you discovered, or could reasonably have discovered, the damage. Any claim lapses one year after that discovery.

10.5 Neither party is liable for failing to perform because of circumstances beyond its reasonable control. These include failures of hosting, network or email providers, cyberattacks that could not reasonably have been prevented, power failures, and government measures. If such a situation lasts longer than 60 days, either party may end the agreement in writing, and you receive a pro rata refund of prepaid fees.

11. Changes to these terms, law and disputes

11.1 We may change these terms. We will email the account owner at least 30 days before a change takes effect. A change that materially disadvantages you takes effect at your next renewal, unless it is required by law. If you do not accept a change, you may end the agreement before it takes effect.

11.2 These terms, the order or plan you chose, and the data processing agreement form the whole agreement. Your own purchasing or general terms do not apply, even if you refer to them.

11.3 We may transfer the agreement to a successor of the Maturo.io business, for example a company set up to run it, and will tell you in advance. You may transfer it only with our written consent.

11.4 If a provision is invalid, the rest of these terms still applies, and the parties will replace it with a valid provision as close as possible in effect.

11.5 Dutch law applies. The Vienna Sales Convention (CISG) does not apply.

11.6 We will first try to resolve any dispute together. If that fails, disputes go exclusively to the District Court of Rotterdam (Rechtbank Rotterdam).

11.7 These terms are written in English. Where we offer a translation, it is for convenience only. If the versions differ, the English version prevails.
